1. Acceptance of Terms

By accessing and using YSW Lab ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

YSW Lab is a SaaS platform that provides AI-powered point-of-sale (POS) solutions. The Service includes three core products:

  • SellOS: Merchant POS system for order management, menu/product management, QR code ordering, kitchen display, staff management, payment processing, marketing tools, and analytics.
  • BuyOS: Consumer ordering app enabling customers to browse menus, place orders, track order status, and make payments.
  • SupplierOS: Supply chain management platform for suppliers to manage products, deliveries, orders, and merchant relationships.

3. Account Registration

  • You must provide a valid email address to create an account.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity under your account, including staff sub-accounts.
  • You must be at least 18 years old to use the Service as a merchant or supplier.
  • Consumer accounts (BuyOS) may be created by users aged 13 or older.

4. Payments & Subscriptions

  • Starter plan: $9/month with basic POS features, 1 shop, 2 staff accounts.
  • Pro plan: $29/month for advanced features including AI tools, analytics, unlimited staff, and kitchen display.
  • Pro+ add-on: +$19/month per additional shop location (requires Pro plan).
  • All payments are processed by Stripe. Prices are in USD unless otherwise specified.
  • Subscriptions can be cancelled at any time. Access continues until the end of the billing period.
  • Refunds are handled on a case-by-case basis. Contact us within 7 days of purchase.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Sell prohibited, counterfeit, or illegal items or services through the ordering system.
  • Attempt to reverse-engineer, exploit, or abuse the platform or its APIs.
  • Circumvent rate limits, access controls, or security measures.
  • Share your account with others or resell access without a partner agreement.
  • Upload malicious content, malware, or content that infringes third-party rights.
  • Use AI features to generate deceptive, fraudulent, or misleading content.

6. Merchant Data & Content

  • You retain ownership of all data you enter into the Service, including menu items, product listings, customer data, and order history.
  • You may export your data at any time through the dashboard or API.
  • AI-generated content (menu descriptions, photo enhancements, marketing copy) is provided "as is" — you are responsible for reviewing it before publishing.
  • You grant YSW Lab a limited license to process and display your content as needed to provide the Service.

7. Intellectual Property

  • The YSW Lab platform, including its software, design, branding, and documentation, is the intellectual property of YSW Lab.
  • You may not copy, modify, distribute, or create derivative works of the platform without written permission.
  • Content you create using the Service (menus, product listings, marketing materials) remains your property.
  • AI-generated content created through the Service is licensed to you for commercial use within the Service and your business operations.

8. Service Availability

YSW Lab aims for high uptime and deploys across multiple regions (Singapore, US, EU) for redundancy. However, we do not guarantee uninterrupted service and do not offer a formal SLA. Scheduled maintenance will be announced in advance when possible. We are not liable for any losses arising from service downtime.

9. Limitation of Liability

To the maximum extent permitted by law, YSW Lab and its operators shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of data, revenue, or business opportunities. Specifically:

  • YSW Lab is not responsible for payment disputes between merchants and their customers.
  • YSW Lab is not responsible for the accuracy of AI-generated content.
  • YSW Lab is not responsible for merchant compliance with local business regulations.
  • Our total liability shall not exceed the amount you paid to YSW Lab in the 12 months preceding the claim.

10. Termination

  • We reserve the right to suspend or terminate your account if you violate these terms.
  • You may delete your account at any time through the dashboard settings.
  • Upon termination, your data will be retained for 30 days to allow export, then permanently deleted.
  • Accounts with no login activity for 180 days may be marked dormant and eventually deleted, with prior notice via email.

11. Partner & Reseller Program

  • Partners earn commissions on referred merchant subscriptions as defined in their partner agreement.
  • Commission rates are between 10% and 50%, set at partner registration and subject to change with notice.
  • YSW Lab reserves the right to suspend partner accounts for fraudulent referrals or abuse.

12. Dispute Resolution

Any disputes arising from or relating to these terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through arbitration in Singapore in accordance with the rules of the Singapore International Arbitration Centre (SIAC).

13. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

14. Changes to Terms

We may update these terms from time to time. Material changes will be notified via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the new terms.
